CONSULTING SERVICE AGREEMENT

This AGREEMENT is effective upon signing and payment,
BETWEEN: Rich Off Real Estate, represented by its account manager, Brandon Lee, hereinafter refers to as “Consultant”;
AND: You the buyer of the course.
RECITALS: Client desires that the Consultant provide advice and assistance in accordance with the Consultant’s area of expertise with regard to advertising and consulting;
Consultant is willing to perform such services; This is a 3 Year Contract.
NOW, THEREFORE IN CONSIDERATION of the foregoing premises and the mutual covenants hereinafter set forth and other valuable considerations, the parties hereto agree as follows:
1. Engagement of the Consultant
a. The Client hereby engages the Consultant to provide the mentoring and
coaching as described in the “Proposal”.
b. The Consultant shall be responsible for the quality of the Services and
shall ensure that all work is performed with reasonable care and,
without limitation, is wholly responsible for ensuring that anyone
authorized by it to perform all or any part of the Services shall also do
so competently and with reasonable care.
2. Payment. The Client will pay the Fee in the following manner:
a. The Billing shall start upon the signing of this Contract;
b. Failure of Payment. In case of Failure of payment, the Consultant
reserves the right to withhold its service as described in the “Proposal”.
3. Confidentiality
The Consultants shall not, during the term of this AGREEMENT and within two
years after its expiration, disclose any proprietary or confidential information.
Rich Off Real Estate Consulting Agreement With customer relating to the Services, this AGREEMENT or the Client’s business or operations without the prior written consent of the Client.
4. Independent Contractor
Both the Consultant and Client agree that the relationship created hereby is that of independent contractor, and this Agreement will not be construed to create a partnership, joint venture, agency or employment relationship between them. Neither party shall have the right or authority to create any obligation or responsibility on the other’s behalf or to obligate or bind the other in any respect.
5. Severance
The Parties agree that, in the event that one or more of the provisions of this Agreement is found to be unlawful, invalid or otherwise unenforceable, that /those provisions shall be deemed severed from the remainder of this Agreement. The remainder of this Agreement shall be valid and enforceable.
6. Law and Jurisdiction
This Agreement (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of Michigan
7. Acknowledgement

Both The Consultant and the Client affirm that they have read this Agreement, understand it, and agree to be bound by its contents. IN WITNESS WHEREOF, the PARTIES hereto have duly entered and executed this AGREEMENT on date and warrant that the party executing this AGREEMENT on their behalf is duly authorized.
